Schumacher Packaging has acquired a majority stake in Cartiere Modesto Cardella

Schumacher Packaging GmbH, a company active in the production of paper and packaging in several European countries and headquartered in Ebersdorf, Germany, has acquired a majority stake in Cartiere Modesto Cardella SpA, which has been producing paper and cardboard for corrugators in its plant in San Pietro a Vico (LU) since 1946. The Cardella family retains a significant stake and will continue to manage the company in the coming years.

Cartiere Modesto Cardella produces 200,000 t/year of recycled packaging paper and employs around 100 people. Schumacher Packaging Gmbh has a turnover of more than 1 billion € and around 4,600 employees.

The transaction, in which CDI Global acted as financial advisor, will develop future synergies in the Italian and European packaging market.

The successful closing of the transaction and the synergies that Schumacher Group will develop will enable Cartiere Modesto Cardella to become an even more solid company, both structurally and financially, as well as to gain access to Europe's largest paper packaging market.

In the negotiation and finalization of the sale and purchase agreement of the shares, as well as of the shareholders' agreements with which the parties intended to give prominence also to "ESG" aspects, the Schumacher Group was assisted for legal matters by Allen & Overy, with a team led by partner Paolo Nastasi.

The tax, financial and labour law due diligence aspects were handled by Rödl & Partner with a team coordinated by partner Attorney Roberto Pera.

In this transaction, CDI Global acted as financial advisor to Schumacher Group with a team formed by Stefano Tovini and Paolo Dini.

The selling shareholders were assisted by Studio Associato GLM of Florence, in the person of Dr. Massimiliano Galli and Riccardo Di Carlo of Studio LMS of Milan.
