Press Release: CDI Global Italy supports Messersì SpA in the sale to WindeX Investment Club
Milan, March 9, 2021 - Finsei Partecipazioni, Marche Capital and Valerio Fedeli have formalized the sale of Messersì SpA to WindeX Investment Club, a holding company founded by Rolando Benedick and Domenico Sibilio.
The operation has been finalized through a new vehicle company (Dumpers Bidco SpA) participated, as well as by WindeX, by private investors/entrepreneurs of primary standing linked to the world of Swiss and Italian entrepreneurship and has taken place through the acquisition of the entire share capital of Messersì SpA.
Messersì SpA is a European leader in the design and production of tracked dumpers, a niche in the light/compact construction equipment sector. Over the years it has recorded a steady and sustained growth to reach in 2021 a turnover of about 35 million euros, of which about 90% abroad, with about 6.5 million EBITDA and an employment of over 120 employees.
The niche of mini dumpers, the company's target market, has recorded an annual growth rate (CAGR) of over 15% since 2016 driven by the increasing automation needs of the construction industry, as well as urbanization and the development of new electrical technologies.
The transaction is aimed at further supporting the growth path of Messersì SpA through investments aimed at financing the optimization of production processes and the increase of installed capacity, as well as supporting its commercial development in some particularly strategic foreign markets such as the United States and the expansion of its product portfolio, also by entering adjacent and synergistic segments. In addition, the expansion and refinement of the range of electric vehicles will be the basis of the new strategies to confirm the position of technological leader in the sector.
The composition of the new Board of Directors sees Domenico Sibilio as President and Marco Vignaroli as CEO. The latter, already a member of the strategic committee of Beretta Holding and with long managerial experience in Italcementi and Benelli, also participated in the operation by co-investing with WindeX.
With the previous ownership and management of Eugenio Valere as CEO and Valerio Fedeli as President, the company has experienced in recent years a continuous development through large investments in innovation and technology that have ensured a strategic development for the world market and that have led the company to become a protagonist and innovator in the field of construction machines. The tracked dumpers, mini and midi, have made Messersì SpA a leader in recent years allowing development, employment and modernization of the company with a strong export network.
"In all these years, the goal has been to ensure a totally managerial management that today wanted to facilitate a generational transition to defend and continue the success of the company and that has led to the decision to sell the company to a reliable operator, solid and with the same entrepreneurial values as WindeX," said Valerio Fedeli, former president.

CDI Global Italy has supported Messersì SpA as Financial Advisor with a team led by the Partner Gianmaria Castoldi.
Finsei Partecipazioni, Marche Capital and Valerio Fedeli were assisted by the lawyer Carla Mambretti of Studio Gattai, and by Michele Pietrucci for the fiscal aspects.
Banca IFIS supported WindeX in the structuring of the transaction and the financing with a team led by Cataldo Conte, Head of Corporate Finance and Stefano Gianesello.
